Welcome to eudexio. These Terms of Service ("Terms") govern your use of our website located at eudex.io ("Site") and services offered through our Site, including our Team Maturity Assessment and related consulting services (collectively, the "Services").

By accessing or using the Site or Services, you agree to be bound by these Terms. If you disagree with any part of the Terms, then you may not access the Site or use our Services.

2. Use of Our Site and Services

2.1 Eligibility

You must be at least 18 years of age to use our Site and Services. By using our Site and Services, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.

2.2 Account Creation

Some parts of our Site and Services may require you to create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. 3. Intellectual Property

3.1 Our Content

The Site and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by eudexio, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

3.2 Limited License

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the Site and Services for your personal, non-commercial use. This license does not include any resale or commercial use of any part of the Site, or its contents; any collection and use of any product listings, descriptions, or prices; any derivative use of the Site or its contents; any downloading or copying of account information for the benefit of another merchant; or any use of data mining, robots, or similar data gathering and extraction tools.

3.3 Your Content

You retain all of your ownership rights in any content you submit, post, or display on or through the Site ("User Content"). By providing any User Content on the Site, you grant us and our affiliates and service providers a non-exclusive, royalty-free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display such content throughout the world in any media.

4. Team Maturity Assessment

The Team Maturity Assessment is provided for informational purposes only. The assessment results are based on the information you provide and are intended to give general guidance about your team's distributed work effectiveness.

The assessment results should not be considered a comprehensive evaluation of your organization's capabilities or a guarantee of future performance. We make no representations or warranties about the accuracy, reliability, completeness, or timeliness of the assessment or its results.

5. Fees and Payment

Certain aspects of the Services may be provided for a fee. You agree to pay all fees associated with the Services you purchase or use in accordance with the pricing and payment terms presented to you for such Services. You agree to provide accurate and complete payment information.

We may change the fees for the Services at any time, provided that, for services with a specified subscription term, the fee change will not take effect until the end of the current subscription term.

6. Disclaimers and Limitation of Liability

6.1 Disclaimer of Warranties

THE SITE AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. NEITHER EUDEXIO NOR ANY PERSON ASSOCIATED WITH EUDEXIO MAKES ANY WARRANTY OR REPRESENTATION WITH RESPECT TO THE COMPLETENESS, SECURITY, RELIABILITY, QUALITY, ACCURACY, OR AVAILABILITY OF THE SITE OR SERVICES.

THE FOREGOING DOES NOT AFFECT ANY WARRANTIES WHICH CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

6.2 Limitation of Liability

IN NO EVENT WILL EUDEXIO, ITS AFFILIATES OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SITE, THE SERVICES, OR ANY CONTENT ON THE SITE, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT OR OTHERWISE, EVEN IF FORESEEABLE.

THE FOREGOING DOES NOT AFFECT ANY LIABILITY WHICH CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

7. Indemnification

You agree to defend, indemnify, and hold harmless eudexio, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Site or Services.

8. Governing Law

These Terms and any dispute or claim arising out of or related to them, their subject matter, or their formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the state of [Your State] without giving effect to any choice or conflict of law provision or rule.
